Recommendations of the Members By-Laws Review Committee 39 Current By-Laws (January 2023) (A) Board’s Proposed Change (B) Board’s Rationale (C) By-Law Committee’s Recommendation (D) By-Law Committee’s Rationale (E) 7) Breaches the Society’s conflicts of interest or director conduct policies; or 8) Is convicted of a criminal offence; or 9) Becomes of unsound mind and has been so found by a court in Barbados; or 10) Without prior excuse fails to attend the mandatory onboarding training or any other similar mandatory course which is specific to the functions of Elected Officer and which is offered by the Society to all Directors and Officers including but not limited to governance, risk and compliance related training; or 11) Willfully fails to fulfill any mandatory requirements within fifteen (15) business days subsequent to the completion of the Annual General Meeting. New By-laws 41(8) Amended to read: (8) Is convicted of a criminal offence in a matter(s) involving unreasonable, dishonest, or fraudulent conduct in employment, and or business; or breaches of confidentiality, fiduciary duties, and or conflicts of interest. New By-law 41(9) Accepted as proposed. New By-laws 41(10) Amend to state: Without a satisfactory explanation, fails to attend the mandatory onboarding training or any other similar mandatory course which is specific to the functions of Elected Officer and which is offered by the Society to all Directors and Officers New By-laws 41(8) Rules out convictions in matters like traffic offences with no elements of dishonesty etc. (wording subject to change). New By-law 41(9) Agree with recommendation. New By-laws 41(10) ‘Satisfactory explanation’ opens the opportunity for a third party to assess whether the explanation given is satisfactory and hence acceptable. In such a case the member would not be unduly penalized.
